    1. About these Terms

    These Terms of Use (the "Terms") govern your use of the website located at www.goptichub.com and any subdomains, content, features, forms, and services made available through it (collectively, the "Site").

    The Site is operated by Global Optic Hub Ltd., an Israeli private company, Company No. 516292901, registered office at 30 Shoham Street, Petach Tikva, 49517, Israel ("GoHub", "we", "us", "our").

    By accessing the Site you agree to these Terms. If you do not agree, do not use the Site.

    These Terms cover the public marketing website only. They do not govern:

    • Use of the GoHub platform / dashboard at app.goptichub.com, which is governed by the GoHub Dashboard Terms of Use
    • The commercial relationship between GoHub and a paying retailer or supplier, which is governed by the applicable Commercial Agreement signed by the parties
    • Customer-facing features that GoHub provides through retailer websites (such as the Virtual Try-On tool), which carry their own consent terms

    2. Who may use the Site

    The Site is intended for:

    • Optical retailers, online stores, and pharmacies considering GoHub as a supplier or platform partner
    • Manufacturers and laboratories considering GoHub as a sales channel
    • Their advisors, employees, agents, and other business representatives
    • Members of the press and the general public who wish to learn about GoHub

    The Site is not directed to consumers under the age of 18. If you are under 18, please do not submit any information through the Site.

    If you access the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms and any agreements you initiate through the Site.

    3. Permitted use

    You may:

    • Browse, view, download, and print Site content for your own non-commercial reference and for evaluating GoHub as a potential commercial partner
    • Submit contact, demo request, partnership, or press enquiry forms
    • Subscribe to GoHub's newsletter or product updates
    • Share links to the Site on social media or in business communications
    • Access the Site through standard, modern web browsers

    4. Prohibited use

    You may not, and may not permit any third party to:

    • Copy, reproduce, modify, distribute, sell, publish, broadcast, sublicense, or create derivative works from any Site content (other than as expressly permitted above)
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software made available through the Site
    • Use any robot, scraper, spider, crawler, or other automated means to access, monitor, copy, or extract any part of the Site, except for good-faith access by recognised search-engine crawlers operating in accordance with our robots.txt file
    • Train, fine-tune, evaluate, or benchmark any machine-learning model on Site content without our prior written permission
    • Embed or frame the Site (or any part of it) in another website or application without our prior written permission
    • Tamper with, disable, probe, scan, or circumvent any security or access-control mechanism, or attempt unauthorised access to any account, system, or network
    • Submit content through any form on the Site that is unlawful, infringing, defamatory, harassing, hateful, obscene, misleading, fraudulent, or that contains malicious code
    • Impersonate any person or entity, or misrepresent your affiliation with any person or entity, when interacting with the Site
    • Use the Site in any manner that violates applicable law or these Terms

    We may suspend or terminate your access to the Site, in whole or in part, at any time and without notice if we reasonably believe you have violated these Terms, including by referring matters to law enforcement where appropriate.

    5. Becoming a GoHub customer

    If you choose to register as a retailer or supplier on the GoHub platform, separate terms will apply. The dashboard registration flow will require your acceptance of the GoHub Dashboard Terms of Use and the applicable Commercial Agreement before you can use the platform.

    Until you complete that registration and acceptance, you remain a Site visitor governed by these Terms only.

    The Site may show prices, fees, lead times, product availability, or other commercial information. Such information is provided for general guidance only and is not a binding offer. Final commercial terms apply only as set out in the Commercial Agreement you sign with us.

    6. Submissions and feedback

    If you submit a form, message, idea, suggestion, request, or other communication through the Site (a "Submission"), you represent that:

    • You have the right to submit it
    • It does not infringe the rights of any third party or violate any law
    • You agree we may store, use, copy, modify, and disclose the Submission for the purpose of responding to your enquiry, providing our services, and improving the Site

    For Submissions that constitute unsolicited ideas, suggestions, or feedback ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use the Feedback for any purpose, including incorporating it into our products and services, with no obligation of attribution or compensation. We are not obliged to keep Feedback confidential.

    We will process any personal data you submit in accordance with our Privacy Policy.

    7. Intellectual property in the Site

    All content on the Site — including text, graphics, logos, icons, images, photographs, illustrations, video, audio, software, code, layout, and the selection and arrangement of content — is owned by GoHub, our licensors, or our content providers, and is protected by copyright, trademark, trade-dress, and other intellectual property laws.

    "GoHub", "GO-HUB", the GoHub logo, and any other marks displayed on the Site are trademarks of GoHub or its licensors. No right or licence to use any trademark of GoHub is granted by these Terms. You may not use any GoHub trademark, name, or logo without our prior written permission.

    We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site solely for the permitted purposes set out in Section 3, subject to these Terms.

    If you believe that material on the Site infringes a copyright you own or control, please send a written notice to cs@goptichub.com containing:

    • A physical or electronic signature of the copyright owner or an authorised agent
    • Identification of the copyrighted work claimed to be infringed
    • Identification of the material claimed to be infringing, with enough detail to permit us to locate it
    • Your contact information (address, phone, email)
    • A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law
    • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner

    We may forward such notices to the alleged infringer and may take appropriate action under our internal procedures, which may include removing the material in question.

    9. Third-party content and links

    The Site may include links to third-party websites, services, or resources. We do not control these third-party sites and are not responsible for their content, availability, accuracy, or practices. Your use of any third-party site is subject to that site's own terms and at your own risk.

    The Site may include third-party content (such as testimonials, case studies, customer logos, or analyst quotes) reproduced with permission. The inclusion of any third-party content does not imply endorsement of that party's products or services beyond what is expressly stated.

    10. Site availability and changes

    We strive to keep the Site available, but we do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice. We are not liable for any unavailability or modification.

    We may change these Terms from time to time. The "Effective date" at the top of this document indicates when these Terms were last updated. Material changes will be highlighted on the Site for at least fourteen (14) days before they take effect, except where immediate change is required by law. Your continued use of the Site after the effective date of any change constitutes your acceptance of the revised Terms.

    11. Disclaimers

    THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, FORMS, SOFTWARE, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOHUB DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

    WITHOUT LIMITING THE FOREGOING, GOHUB DOES NOT WARRANT THAT: (a) THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (b) DEFECTS WILL BE CORRECTED; (c) THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (d) ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

    ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SITE IS DOWNLOADED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS.

    Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

    12. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GOHUB, ITS AFFILIATES, OR ITS OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF GOHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOHUB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).

    The exclusions and limitations in this Section 12 apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above limitations may not apply to you.

    This Section 12 governs the Site only. Any commercial relationship with GoHub is subject to the liability provisions of the applicable Commercial Agreement, which prevail over this Section 12 with respect to that commercial relationship.

    13. Indemnification

    You agree to defend, indemnify, and hold harmless GoHub, its affiliates, and its and their officers, directors, employees, agents, suppliers, and licensors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

    • Your use of the Site in violation of these Terms or applicable law
    • Any content you submit through the Site that infringes third-party rights or violates law
    • Your violation of any applicable law
    • Any unauthorised use of your account or credentials caused by your failure to maintain confidentiality

    We may assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defence.

    14. Privacy and cookies

    Our Privacy Policy explains how we collect, use, and disclose information about you in connection with your use of the Site. Our Cookie Policy explains how we use cookies and similar technologies.

    By using the Site, you agree that GoHub may collect and process information as described in those policies. Where applicable law requires consent for cookies or similar technologies (including under the EU ePrivacy Directive and GDPR), we will request your consent through our cookie banner.

    15. Governing law and jurisdiction

    These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Israel, without regard to conflict-of-law principles. The exclusive jurisdiction and venue for any such dispute is the competent courts of Tel-Aviv–Jaffa, Israel, and you consent to personal jurisdiction in those courts.

    Nothing in this Section 15 prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

    If you are a consumer based in the European Union, you may also have the right to bring proceedings in your country of residence. Nothing in these Terms affects your statutory rights as an EU consumer.

    16. Notices

    We may give notices to you by posting on the Site, by email to the address you have provided to us, or by other reasonable means. Notices are effective when posted or sent.

    17. Region-specific notices

    European Economic Area, United Kingdom, and Switzerland

    If you are located in the European Economic Area, the United Kingdom, or Switzerland, additional rights and protections apply to your personal data. Please refer to our Privacy Policy for details on how we comply with the EU General Data Protection Regulation (GDPR), the UK GDPR, and the Swiss Federal Act on Data Protection (FADP). You also have the right to lodge a complaint with your local data protection supervisory authority.

    California, United States

    If you are a California resident, additional rights apply to your personal information under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). Please refer to our Privacy Policy for details on how we comply with these laws and how to exercise your California privacy rights. You can submit a request to know, delete, correct, or opt out of the sale or sharing of your personal information through the methods described in the Privacy Policy.

    Israel

    If you are an Israeli resident, your personal data is processed in accordance with the Israeli Privacy Protection Law, 5741-1981, and the regulations enacted under it. The relevant database registration details (where applicable) are available on request.

    18. Miscellaneous

    Entire agreement. These Terms (together with the documents referenced in them) are the entire agreement between you and GoHub regarding your use of the Site, and supersede all prior agreements regarding the Site.

    Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while reflecting the parties' original intent.

    No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or our right to enforce it later.

    Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our assets.

    No third-party beneficiaries. These Terms do not confer any rights or remedies on any person other than you and GoHub.

    Relationship of the parties. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and GoHub. You are an independent visitor or user of the Site.

    Force majeure. GoHub is not liable for any failure or delay in performance under these Terms caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labour disputes, pandemic, internet or telecommunications failures, or third-party service disruptions.

    Headings. Section headings are for convenience only and do not affect interpretation.

    Language. These Terms are drafted in English. If GoHub provides a translation, the English version will prevail in case of inconsistency.
